Karol

Karol concentrates her practice on corporate law, with a focus on mergers and acquisitions and corporate dispute resolution. She has extensive experience providing business legal counsel, both from practicing at the firm and from her previous roles as in-house counsel at leading companies in the automobile and agribusiness sectors.  

In corporate matters, she advises domestic and international companies on incorporation and corporate structuring processes, bylaw amendments, capital increases and decreases, changes of corporate form, mergers, spin-offs, dissolutions, and liquidations. She has actively worked on M&A transactions, including due diligence, legal structuring, contract negotiations, and closure of operations, supporting the entry and expansion of foreign investment in the Ecuadorian market.   

Karol’s practice includes the strategic management of corporate and contractual disputes at the administrative, arbitral, court and out-of-court level, with a focus on risk prevention and the design of solutions that are aligned with business objectives. She is experienced in structuring and negotiating civil and commercial contracts, as well as the implementation of corporate governance instruments, internal policies, and alternative dispute resolution methods.
